Introduction
The sale of “EMPRESA” brand products concluded remotely through this website (hereinafter referred to as the “Website”) is governed by the following General Terms and Conditions of Sale.
The products offered on the Website are sold directly by BARANES S.r.l. (hereinafter referred to as “BARANES” or “the Company”). BARANES S.r.l. is a company incorporated under Italian law, with its registered office at Viale Giulio Cesare 71 – 00192 Rome (RM) – Italy, VAT number and tax ID 06038041007 – Rome Business Registry number 944344
Any user browsing the Website (“User”) is invited to review the Agreement before completing a purchase order for Products on the Website (“Order”); submitting an Order implies acceptance of the Agreement. Any amendment to the Agreement shall become effective immediately upon publication on the Website and shall govern all subsequent Orders.
The languages used for the conclusion of the sales contract via this Website are: Italian and English.
These General Terms and Conditions of Sale are published on the Website to allow the Customer to review, save, and reproduce them in accordance with applicable law.
The purchase of products is governed exclusively by the General Terms and Conditions of Sale published on the Website and in effect at the time of purchase. EMPRESA reserves the right to make changes and/or additions to these General Terms and Conditions of Sale at any time.
Any amendments and/or additions shall apply exclusively to purchases made after the date of publication of the new version of the General Terms and Conditions of Sale.
The replacement of these General Terms and Conditions of Sale with a new version implies that the previous version automatically becomes inapplicable, ineffective, and unenforceable against the COMPANY with respect to purchases made after their removal from the Website, even if said General Terms and Conditions of Sale remain viewable and/or accessible to the public through other websites other than the one indicated above.
1. Customers
1.1. Use of the distance selling service governed by these General Terms and Conditions of Sale is reserved exclusively for consumers (hereinafter referred to as “Customer” or, in the plural, “Customers”) meaning natural persons acting for purposes unrelated to any commercial, entrepreneurial, artisanal, or professional activity they may carry out, who are at least 18 years of age (or, if under 18, authorized by their legal representative).
1.2. Where required, Customers must provide their first name, last name, date of birth, email address, delivery address for the Products, tax ID number, and other personal information. Such information must be true, accurate, and kept up to date.
1.3. The User may not place Orders on the Website using the name or credentials of another person, unless expressly authorized by the rightful owner.
1.4. The resale or transfer of products purchased on the Website for any commercial or professional purpose is expressly prohibited.
2. Product Availability
2.1. The Customer acknowledges that the products offered by EMPRESA on the Website (hereinafter referred to as the “Products”) are available in limited quantities and is therefore aware that EMPRESA must verify their availability at the time of purchase.
2.2. Occasional issues may arise regarding the availability of certain Products. In such circumstances, EMPRESA will promptly inform the Customer (and in any case within the timeframes specified below) via email of the available options.
2.3. In the event of only partial availability, the Customer will be informed. In any case, the Customer agrees to receive only the available Products. EMPRESA reserves the right to change the items offered for sale on the Website at any time, without prior notice.
3. Purchase Procedure
3.1. Each Product offered for sale on the Website can be viewed via a specific link that displays photographs of the item, the unit price, the colors, and the available sizes (if applicable).
3.2. The Products selected by the Customer will be placed in a designated section (hereinafter referred to as the “Shopping Cart”). The description of the Products, including measurements or sizes (where applicable), along with one or more digital photographs that accurately depict the Products, will be included in the Customer’s Shopping Cart.
3.3. Although EMPRESA constantly takes measures to ensure that the photographs displayed on the Website accurately reproduce the original products, some variations are always possible due to the technical characteristics and color resolution of the device used by the Customer. Consequently, EMPRESA shall not be liable for any inaccuracies in the graphical representations of the Products displayed on the Website if caused by the aforementioned technical reasons.
3.4. To view the selected Products and the total price of the purchase order, you must access the Shopping Cart page. Before confirming their order proposal (hereinafter referred to as the “Order Proposal”), the Customer is required to verify the accuracy of the Shopping Cart’s contents and to complete the purchase form in accordance with the instructions provided on the Website.
3.5. The purchase process is completed when the Customer selects the button to definitively confirm the order, thereby validating their Order Proposal, which will be sent directly to EMPRESA. Once the Purchase Button has been selected, the contents of the Order Proposal can no longer be modified by the Customer.
3.6 Before confirming the Order Proposal, the Customer must declare that they have read and accepted these General Terms and Conditions of Sale. At the end of the purchase process, the Customer is advised to save or print the General Terms and Conditions of Sale.
3.7. The purchase process must be completed in full; otherwise, the Order Proposal cannot be sent to EMPRESA. For any questions regarding the purchase process, the Customer may contact customer service at the following address: customercare@empresa.it.
3.8. Each Order Proposal and the Customer’s data required for the purchase will be stored by EMPRESA for the period of time and in accordance with the conditions set forth by applicable law. Any use of the data for purposes other than the purchase will be subject to the Customer’s prior and express consent, based on the conditions specified in the “Privacy Policy” published on the Website.
3.9. Customers who have registered for the members-only area of the Website may check the status of their order by logging into that area and accessing the page dedicated to their orders.
3.10. The Customer acknowledges that they are responsible for the accuracy and truthfulness of all data entered on the Website or otherwise used during the purchase process.
3.11 The Customer is also aware that on the Website, they have the option to:
- order a selection of Products that are “out of stock.”
- order Products that they wish to customize by adding permanent modifications in accordance with the procedures indicated on the Website in the “Empresa With You” section (for example, through hot stamping).
The Customer acknowledges that these Products are not yet available for shipment at the time the Order Proposal is submitted. Products that can be ordered by the Customer are clearly identified and marked on the Website with the phrase “Order now and receive in … days,” and Products that can be customized by Customers are clearly identified and marked on the Website with the phrase “Customize your products” within the “Empresa With You” category.
3.12 The Customer acknowledges and agrees that if he or she orders a Product and/or a Customized Product, the corresponding price shown on the Website and displayed in the Shopping Cart section will be charged to the Customer in advance—that is, upon receipt of the Confirmation Email, as defined in section 4.2 below—even if the Ordered Product and the Customized Product are not yet ready for shipment at that time. The Ordered Product and the Customized Product will be delivered to the Customer within the relevant estimated timeframe specified on the Product description page. If the Order Proposal submitted by the Customer also includes one or more Ordered Products and/or Customized Products, in addition to Products already available, the prices of all Products related to that Order Proposal will be charged to the Customer in advance, i.e., upon receipt of the Confirmation Email, even if the Made-to-Order Products and Customized Products are to be delivered by the latest estimated delivery date, as indicated on the Product description pages.
3.13. All further details regarding payment, delivery, and confirmation of the Ordered Products and Customized Products are specified in the respective sections below.
3.14. The Customer acknowledges and agrees that, except as expressly provided herein for Ordered Products and Customized Products, the other provisions of these General Terms and Conditions of Sale also apply to Ordered Products and Customized Products.
4. Conclusion of the Contract
4.1. Upon confirmation of the Order Proposal, the order is sent to EMPRESA for processing and cannot be further modified. The Order Proposal submitted by the Customer will be accepted by EMPRESA only if the entire purchase process has been completed properly, without any error messages displayed by the Website. After submitting the Order Proposal, the Customer will receive an email from EMPRESA confirming receipt of the Order Proposal. This email shall not be construed as acceptance of the Order Proposal. EMPRESA’s acceptance of the Order Proposal and the conclusion of the contract will take place in accordance with the provisions of section 4.2 below.
4.2. The contract entered into between EMPRESA and the Customer shall be deemed concluded when the Customer receives one or more confirmation emails from EMPRESA (hereinafter referred to as “Confirmation Emails”). Prior to that, the Seller reserves the right not to accept an Order if it deems it appropriate. In particular, the Seller shall not be liable in any way if a Product ordered is removed from the Website after the relevant Order has been submitted. It may happen that the Website mistakenly displays Products that are currently unavailable. The Confirmation Email will be sent to the email address provided by the Customer in the purchase form and will contain confirmation and a summary of the terms of the purchase, including: the description of the Product and its main features, the total price of the order, including any shipping costs, the address for submitting any complaints, information on after-sales support services, the existence of the right of withdrawal, and the procedures for exercising it.
4.3. EMPRESA reserves the right not to accept an Order Proposal submitted by a Customer in the following cases:
a) unavailability of the Products included in the Order Proposal;
b) the existence of a legal dispute between the COMPANY and the Customer regarding a previous order;
c) if the Customer has previously violated the General Terms and Conditions of Sale or failed to fulfill its obligations;
d) if it has come to light that the Customer is purchasing the Products for the purpose of reselling or transferring them for commercial or professional purposes;
e) if the Customer has been involved in or is suspected of illegal or fraudulent activities.
In the aforementioned cases, EMPRESA will notify the Customer via email, within 30 (thirty) days from the date of actual receipt of the Order Proposal, of any cancellation of the orders received. In such a case, no Order Proposal shall be deemed accepted by EMPRESA, and no contract shall be deemed concluded between EMPRESA and the Customer.
4.4 In the event of partial unavailability of the Order, Customer Service will contact the Customer to verify whether the Customer wishes to (a) receive a partial Order, (b) receive the complete Order in multiple shipments, or (c) cancel the Order. In the event of total unavailability of the Order, however, Customer Service will contact the Customer to inform them that the Order cannot be processed and will cancel the Order. In such cases, no charges will be applied to the Customer.
5. Price and Payment Method
5.1. The prices of all Products offered for sale on the Website include VAT.
5.2. These prices will be listed in euros (EUR) for Products to be delivered to European Union countries, in pounds sterling for Products to be delivered to the United Kingdom, and in dollars for Products to be delivered to all other countries.
5.3. The total price shown in the Shopping Cart includes any shipping costs, which will be listed separately. In any case, EMPRESA will request the Customer’s express consent for any additional costs.
5.4. The Customer will be charged the prices published on the Website and displayed in the Shopping Cart at the time the Order Proposal is confirmed by the Customer clicking the Purchase Button, provided that the ordered Products are available at that time, with the exception of Order Proposals containing Pre-Order Products and/or Customized Products, for which the relevant price will be charged to the Customer in advance as provided for in section 5.6 below, even if such Products are not yet ready for shipment at that time. EMPRESA reserves the right to change the prices of the Products offered for sale on the Website at any time and without prior notice.
5.5. EMPRESA accepts only credit cards and other payment methods expressly indicated on the Website, specifically:
(i) PayPal
Customers may pay via PayPal in accordance with the specific terms and conditions established by PayPal.
(ii) Credit Card/Stripe
When purchasing products with a credit card, the transaction may be processed through the secure PayPal server or another secure server chosen by EMPRESA.
Under no circumstances and at no stage of the transaction will EMPRESA have access to the Customer’s credit card information, which will be transmitted via a secure connection directly to the bank processing the transaction. EMPRESA does not retain any electronic record of such data; therefore, under no circumstances can EMPRESA be held liable for any fraudulent or unauthorized use of credit cards by third parties at the time of payment.
(iii) Bank Transfer.
It is understood that any fees related to bank charges and/or currency exchange shall be borne by the customer. The merchandise cannot be shipped if the amount received does not match the sale price listed on the EMPRESA Website.
For purchases made via bank transfer, the customer will find the bank details provided. The goods will be shipped only after payment has been received.
Bank transfers are accepted from the following countries: Austria, Belgium, Bulgaria, Cyprus, Croatia, Denmark, Estonia, Finland, France, Germany, Greece, Ireland, Italy, Latvia, Lithuania, Luxembourg, and Malta; the Netherlands, Poland, Portugal, the United Kingdom, the Czech Republic, Romania, Slovakia, Slovenia, Spain, Sweden, and Hungary. The Customer must pay the balance of the order within 10 days of purchase confirmation.
After ten days, the order will be canceled and a new one must be placed.
5.6. For the purposes of payment by credit card, the Customer confirms and warrants that they are the holder of the credit card used for the purchase and that all information related to it, entered during the purchase process, is correct, including: the number, expiration date, and, if necessary, the security code.
The transaction will be charged to the Customer only after:
(i) verification of the credit card information, (ii) receipt of the authorization to charge from the issuer of the credit card used by the Customer, and (iii) confirmation of the product’s availability by EMPRESA, and in any case after the order is ready to be fulfilled.
The entire transaction—whether for orders containing only Pre-Order Products or Customized Products not yet ready for shipment at the time of the Confirmation Email, or for orders containing both Pre-Order Products and/or Customized Products—will be charged for all Products, including those already available, upon receipt of the Confirmation Email.
No charge will, therefore, be made at the time the Order Proposal is submitted.
5.7. For the purposes of payment through other payment service providers, the Customer confirms and warrants that they are the account holder used for the purchase. The transaction will be charged to the Customer only after the Customer has received the Confirmation Email from EMPRESA.
5.8. The purchased Products will be shipped only after the payment of the amount due by the Customer has been successfully processed. If, for any reason, it proves impossible to charge the Customer for the amounts due, the sale will be automatically canceled, as indicated in the notification that will be sent to the Customer.
5.9. If one or more Products are unavailable and the Customer has decided not to cancel the entire order, only the price and any shipping costs for the available Products will be charged.
6. Shipping and Delivery
6.1. EMPRESA ships and delivers Orders using leading couriers.
6.2. The Seller undertakes to deliver Orders to Customers accurately and promptly, in accordance with the delivery terms indicated on the website at the time of purchase and, in any case, within 2–5 days from the date the Order Confirmation is sent to the Customer.
6.3. EMPRESA reserves the right to accept or reject requests for delivery outside of Italy or Europe. In any case, for deliveries outside of Italy, shipping costs and delivery times may vary.
6.4 With regard to delivery requests to countries outside the European Union, any import customs duties are the responsibility of the recipient. The Customer is therefore advised to contact the customs authorities of the relevant country in advance to verify costs and any import restrictions. DDP is available in the following countries: China, Japan, Hong Kong, the U.S., Russia, Belarus, Ukraine, Georgia, Azerbaijan, and Kazakhstan. The Order Confirmation is sent to the Customer as soon as the Products are handed over to the carrier for shipment. At this time, we are not authorized to deliver to Russia, Belarus, and Ukraine.
6.5. Under certain circumstances, such as a business closure, delivery times may be subject to change. The Seller shall not be held liable for delivery delays not attributable to its fault or negligence. Therefore, the Seller shall be exempt from liability for delays due to force majeure, strikes, natural disasters, issues related to customs clearance procedures, and any other issues related to the provision of courier services or any other circumstances beyond its control. The Order Confirmation includes the tracking number, which the Customer can use to monitor the shipping and delivery process of the Products on the relevant courier’s website.
6.6. The delivery times indicated by EMPRESA are purely indicative, and any delay in delivery—or delivery in subsequent partial shipments—shall not entitle the Customer to refuse delivery or to claim compensation or damages. The Customer is encouraged to do everything in their power to facilitate delivery of the Order, either by being available to receive it or by authorizing a third party to do so. The courier will make an initial attempt to deliver the Order to the address provided by the Customer. If delivery is unsuccessful, the carrier will notify the Customer of the delivery attempt and will attempt to arrange a subsequent delivery of the Order with the Customer. If the courier is unable to deliver the Order, Customer Service will contact the Customer to confirm whether they would like a new shipment.
6.7. Upon delivery, the Customer must verify that the number of packages is correct and that the outer packaging is intact. If the Customer notices any irregularities in the delivery—for example, regarding the number of packages or damage to the outer packaging—the Customer must sign the delivery document with reservation and contact Customer Service. If the Customer fails to do so, they may not subsequently raise any objections regarding the delivery, subject to the provisions of Article 8 below concerning latent defects and in compliance with the statutory provisions established for the mandatory protection of consumers. Any issues regarding the physical condition, accuracy, or completeness of the goods received must be reported within 7 days of delivery, in accordance with the procedures set forth in this document.
7. In-Store Pickup
7.1. Where permitted, during the purchase process, the Customer may choose, at no additional cost, to pick up the Products at a specific EMPRESA single-brand store (“Store”). In this case, once the Order has been processed, the Seller will contact the Customer to inform them of the date on which the Products will be available for pickup at the selected Store. Starting from that date, the Order will be available for in-store pickup for a maximum period of 15 (fifteen) days.
7.2. If the Products are not picked up within the timeframe indicated above, Customer Service will contact the Customer to arrange a new delivery of the Products. If the Customer does not provide any instructions to the Seller within the mandatory deadline of 5 (five) business days, the Order will be considered canceled.
7.3. The Customer is invited to pick up the Order in-store in person or by authorizing another person to do so. The person authorized by the Customer to pick up the Products at the Store must present:
1. a copy of the Order Confirmation;
2. a power of attorney signed by the Customer and a copy of the Customer’s identification document;
3. the original of their own valid identification document recognized in the jurisdiction where the Store is located.
8. Product Conformity
8.1. Without prejudice to the provisions of Article 6 above, the Seller assumes responsibility for any original defects in the Products.
8.2. The Seller warrants to the Customer that the Products sold are free from defects and that they conform to the terms of the Contract.
8.3. For technical reasons, neither EMPRESA nor the Website can guarantee that the colors displayed on the screen will always be accurate. Minor differences between the Product description on the Website and the actual characteristics of the Product shall not be considered grounds for non-conformity of the Product for the purposes of this Contract.
8.4. Upon delivery, the Customer must inspect the Products to ensure that they correspond to the items ordered and that they do not have any manufacturing defects or nonconformities. The sale of the Products is subject to the statutory warranties provided for by applicable law, in addition to any additional contractual warranties that may be provided to the Customer.
8.5. In the event of manufacturing defects or nonconformities, the Customer shall be entitled to have the Product restored to conformity, at no cost, through repair or replacement, unless the requested remedy is objectively impossible or excessively burdensome compared to the other option. If any of the circumstances provided for by law arise, the Customer may request a reasonable price reduction or the termination of the contract and the consequent refund of the price paid. It is understood that the Customer forfeits this right if he or she does not report the lack of conformity to EMPRESA within 2 (two) months from the date on which the defect was discovered. In any case, EMPRESA is liable only for defects of conformity that become apparent within 2 (two) years of the Product’s delivery. The right to assert claims for such defects expires 26 (twenty-six) months after the Product’s delivery.
8.6. The mere receipt of the Products by the Seller following the initiation of this procedure does not, in any way, imply acknowledgment of a lack of conformity of the Products, as a thorough inspection by the Seller is required.
8.7. To report defects or flaws in the Products, the Customer may contact EMPRESA at the addresses indicated in Article 13 below. Upon receiving notification from the Customer, the Seller will contact the Customer to arrange directly with the Customer the details for the return of the Products.
9. Exchanges and Returns – Right of Withdrawal
9.1. The Customer has the right to cancel the contract within 14 (fourteen) days from the date of delivery or pickup of the Products, except in the case of Customized Products, purchased exclusively online. In the case of a split order, this period begins on the day of delivery or pickup of the last Product.
9.2. Within the same period of 14 (fourteen) days from the date of delivery, pickup of the Products or purchase at one of our stores—except in the case of Customized Products—the Customer has the right to request the replacement of a Product with a unit of the same Product in a different color and/or size, or with another product of equal or greater value, or the issuance of a credit note of equal value. For this purpose, the delivery date of the Products as shown in the delivery tracking system provided by the courier on its website shall be considered the date of delivery for the purposes of verifying compliance with the aforementioned deadline.
9.3. To exercise the right of withdrawal referred to in section 9.1 above and/or request the replacement of Products as referred to in section 9.2 above, the Customer must send a notice to EMPRESA within the specified time limits to the following email address: customercare@empresa.it.
9.4. For online orders, in the event of withdrawal and/or replacement of the products, the Customer must return the products to EMPRESA at their own expense within 14 (fourteen) days, after first notifying Customer Service via email at customercare@empresa.it:
- For all packages shipped from the European Union, the shipping address is: EMPRESA, Largo Santa Susanna, 102 00187 Rome (RM), Italy.
- For all packages shipped from countries outside the European Union that go through customs, the shipping address—subject to authorization by Customer Service—is: EMPRESA, Largo Santa Susanna, 102 00187 Rome (RM), Italy.
9.5. The merchandise must be returned intact, complete in all its parts, and in its original packaging (envelopes and boxes), having been stored and used only for the time strictly necessary to determine and verify its condition, characteristics, and dimensions, with due care, showing no signs of wear or dirt, and in compliance with the following conditions:
9.6. The right of withdrawal applies to the product purchased in its entirety; it is not possible to return only part of the purchased product (e.g., accessories, complementary items, etc.). The Products must be returned in the same condition in which they were delivered. The Customer must therefore ensure that the Products are intact and complete, and have never been used, worn or damaged in any way, and that they be returned in their original packaging, complete with all labels, packaging, and accessories included at the time of receipt. The Products, labels, packaging, and accessories must not show any signs of use or scratches, nor have they been altered in any way (worn, washed, ironed, etc.), and must be returned in the same condition in which they were shipped by the Seller and in their original “EMPRESA” inner packaging. If a Product is equipped with a security tag, the return will not be accepted if the original security tag has been removed, broken, or tampered with. Therefore, the purchase price and shipping costs will not be refunded for: Products that are used, incomplete (particularly in the case of missing parts or accessories), ruined, damaged, deteriorated, or dirty. Any signs of use on the soles of returned footwear will preclude a refund or replacement of the Product;
The Customer also acknowledges that, for safety and health and hygiene reasons, perfumes cannot be returned if the sealing cellophane and the original packaging have been opened, damaged, altered, or removed. EMPRESA will inspect the packaging and condition of each returned Product, as the substantial integrity of the Products is an essential requirement for exercising the right of withdrawal.
9.7. Shipping costs (and any customs duties, if applicable) resulting from the return of the goods are the sole responsibility of the Customer; until receipt is confirmed by the warehouse designated by EMPRESA, the Customer bears sole responsibility for the shipment; EMPRESA shall not be liable in any way for damage, theft, or loss occurring during or as a result of a shipment made for the purpose of returning the goods; in the event of damage to the goods during transport, EMPRESA will notify the Customer so that the Customer may promptly file a claim with the carrier used and obtain adequate compensation; The product will then be made available to the Customer upon cancellation of the request for termination.
9.8. Once the requirements for replacing the Product or exercising the right of withdrawal have been verified, the Seller will notify the Customer of the acceptance of the return and will proceed to replace the Product or, in the case of withdrawal, refund the purchase price, net of shipping costs incurred and any customs duties paid for importation, within 14 (fourteen) days from the date of withdrawal, by crediting the amount charged to the same payment method used by the Customer for the initial transaction, unless otherwise agreed. In any case, the Customer will not be responsible for any expenses incurred as a result of said refund. EMPRESA reserves the right, in any case, to withhold the refund until it has received and verified the Product or until the Customer provides proof that the Product has been returned correctly and in good condition, whichever occurs first. EMPRESA will confirm the refund of the purchase price to the Customer via email.
9.9. EMPRESA reserves the right to refuse the return of any Products that are damaged, deteriorated, soiled, or in a condition that unequivocally suggests they have been used for purposes other than the Customer’s inspections strictly necessary to ascertain the nature and characteristics of the purchased Product. If the return is refused, EMPRESA will send a specific notice to the Customer and will not refund the price paid by the Customer, while also reserving the right to seek compensation for any damages attributable to the Customer’s conduct.
9.10. The return of Products pursuant to this article is permitted only for purchases made on the Website.
9.11. Given that Customized Products are permanently modified and specifically personalized for the Customer, and that their original state cannot be restored in any way, the Customer may not exercise the right of withdrawal for Customized Products. Consequently, the provisions contained in this Article 9 do not apply to Customized Products, it being understood that the exclusion of Customized Products from the right of withdrawal shall not affect the application of the statutory warranties, as provided for in Article 8 above, to such products as well.
10. Limitation of Liability
10.1. Except in cases of willful misconduct or gross negligence, EMPRESA shall not be liable in any way to the Customer for any indirect or consequential damages that may arise from the purchase of Products offered for sale on the Website.
11. Product Authenticity and Intellectual Property Rights
11.1. EMPRESA guarantees the authenticity and high quality of all Products offered for sale on the Website.
11.2. The “EMPRESA” trademark, as well as all figurative and non-figurative trademarks and, more generally, all other trademarks, illustrations, images, and logos appearing on “EMPRESA” products, their accessories, and/or packaging—whether registered or unregistered—are and remain the exclusive property of the EMPRESA Group. 12. Disputes
12.1. These General Terms and Conditions of Sale are governed by Italian law and shall be interpreted in accordance with it. Any conflicting legal provisions and the United Nations Convention on Contracts for the International Sale of Goods shall not apply.
12.2. In the event of a dispute arising from the interpretation and/or application of these General Terms and Conditions of Sale, the court of the Customer’s domicile or residence shall have exclusive and mandatory jurisdiction, provided such domicile or residence is located within the territory of the Italian State. If the Customer’s domicile or residence is located outside the territory of the Italian State, the Customer may, at their discretion, bring the matter before the court of their place of residence or domicile, or before the Court of Rome, or before the court where EMPRESA has its registered office.
This is without prejudice to the possibility of pursuing out-of-court dispute resolution, as provided for in Articles 66 and 141 of the Consumer Code.
Alternatively, pursuant to Article 14 of EU Regulation 524/2013/EU, the Customer may initiate one of the out-of-court dispute resolution procedures provided for by applicable law. To this end, the Customer may use the online platform made available by the European Commission, which can be accessed via the website http://ec.europa.eu/odr.

14. Partial Invalidity
14.1. If any provision of these General Terms and Conditions of Sale is deemed null and void, unlawful, or unenforceable under any applicable law, regulation, or final ruling of a competent court, all other provisions herein shall remain fully valid and enforceable.
