1. GENERAL CONDITIONS OF SALE
1. Acceptance of the General Conditions of Sale and conclusion of the contract
1.1 The contract stipulated between Baranes Srl (hereinafter “EMPRESA”) and the Customer (i.e. the individual or natural person who makes the purchase on the Site, not attributable to their commercial, entrepreneurial or professional activity) is considered concluded with the acceptance, even partial, of the order by EMPRESA. In the event of non-acceptance of the order, EMPRESA must in any case promptly notify the Customer.
1.2 By placing an order through one of the available methods, according to the order form on the Site (hereinafter “Order”), the Customer confirms that he has read all the information provided during the purchase procedure and confirms full acceptance of the General Conditions (hereinafter the “Conditions”).
1.3 These Conditions can be printed or saved on a durable medium, in accordance with the provisions of art. 12 Legislative Decree 70/2003 and art. 51 Legislative Decree 206/2005, as amended by Legislative Decree 21/2014.2.
2. Purchase Method
2.1 The only products offered for sale by EMPRESA are those present on the EMPRESA website at the time the Order is placed, as described on the relevant information pages.
2.2 It is however understood that the images accompanying the information relating to a product are shown for information purposes only and may not be entirely representative of the characteristics of the product itself, possibly differing, for example, in colour and size (in some cases due to the browser and screen used to access the Site and view the images).
2.3 To place an Order, the Customer must fully complete the appropriate form on the Site and send it after having carefully read the Conditions as well as the characteristics of the product and/or products that he/she intends to purchase. The Customer must also, in his/her capacity as EMPRESA, if desired, send a tax invoice relating to the purchase, pursuant to art. 22 of Presidential Decree no. 633/1972.
2.4 Correct receipt of the Order will be confirmed by EMPRESA by means of an e-mail response sent to the e-mail address indicated by the Customer. This confirmation message must contain a summary of the purchase conditions, in accordance with applicable legislation, as well as the data provided by the Customer in the Order, so that
3. Prices and payment methods
3.1 The prices indicated on the Site are inclusive of taxes and VAT. Any delivery or payment costs will be communicated to the Customer via the Site or via these Conditions.
3.2 The following payment methods are accepted:
(i) PayPal
Customers can pay via PayPal according to the specific methods established by the same.
(ii) Credit Card
In the event of purchase of products by credit card, the transaction may be carried out via the secure PayPal server or another secure server chosen by EMPRESA.
Under no circumstances and at no stage of the transaction will EMPRESA be able to access the Customer's credit card data, which will be transmitted via a secure connection directly to the banking institution that manages the transaction. No electronic record of such data is kept by EMPRESA and therefore under no circumstances can EMPRESA be held responsible for any fraudulent or unauthorized use of credit cards by third parties at the time of payment.
(iii) Bank Transfer (only for European countries)
In the event of purchase by bank transfer, the Customer will be able to find the bank details. The goods will be shipped only after actual receipt of payment.
Bank transfers are accepted from the following countries: Austria, Belgium, Bulgaria, Cyprus, Croatia, Denmark, Estonia, Finland, France, Germany, Greece, Ireland, Italy, Latvia, Lithuania, Luxembourg and Malta; Netherlands, Poland, Portugal, United Kingdom, Czech Republic, Romania, Slovakia, Slovenia, Spain, Sweden and Hungary. The customer must pay the balance of the order within 10 days of confirmation of purchase.
After ten days, the order will be canceled and another must be made.
4. Delivery of products and related charges
4.1 The products purchased will be delivered to the address indicated in the Order by the Customer within 2 – 5 days from acceptance of the Order by EMPRESA, at the cost specifically indicated on the Site before placing the Order. EMPRESA reserves the right to accept or refuse requests for delivery outside the territories of Italy or Europe. In any case, for deliveries outside the territories of Italy, delivery costs and delivery times may vary.
4.2 With reference to requests for deliveries to countries outside the European Union, any customs duties on import are the responsibility of the recipient. The Customer is therefore advised to contact the customs authorities of the country concerned in advance to verify the costs and any import restrictions. DDP is available in the following countries: China, Japan, Hong Kong, USA, Russia, Belarus, Ukraine, Georgia, Azerbaijan and Kazakhstan.
4.3 The delivery times indicated by EMPRESA are merely indicative and a delay thereof, or any delivery with subsequent split shipments, will not entitle the Customer to refuse delivery or to request compensation or indemnity.
4.4 Upon delivery, the Customer will be required to check: that the number of packages delivered corresponds to the number indicated on the delivery note. that the packaging is intact, not damaged, not wet or deteriorated, also with reference to the materials used for closing (adhesive tape or metal straps). Any damage to the packaging and/or the product or the lack of correspondence in the number of packages or indications must be immediately contested by indicating the nature of the problem on the delivery note of the product, which must be returned to the carrier.
Any problems with reference to the physical integrity, correspondence or completeness of the goods received must be reported within 7 days of delivery, according to the methods set out in this document.
5. Right of withdrawal
5.1 Pursuant to Article 52 of Legislative Decree 206/2005, as amended by Legislative Decree 21/2014, the Customer may withdraw from the Conditions and therefore from the purchase contract for any reason, without the need for justification and without incurring any penalty, within 14 (fourteen) working days from the date of receipt of the products.
5.2 To exercise the right of withdrawal referred to in the previous Article 5.1, the Customer must send a communication to EMPRESA within the terms indicated to the following email address info@empresa.it
Unregistered users must send an email to 5.3 In the event of withdrawal, the Customer must return the products to EMPRESA at the Customer's expense within 14 (fourteen) days of such withdrawal:
- For all packages shipped from the European Union, the shipping address is: EMPRESA, Largo Santa Susanna, 102 00187 Rome (RM) Italy
- For all packages shipped from countries outside the European Union, which pass through customs, the shipping address is:
EMPRESA, Largo Santa Susanna, 102 00187 Rome (RM) Italy The goods must be returned intact, complete in all their parts and in the original packaging (envelopes and packaging), having been stored and used only for the time strictly necessary to establish and check the condition, characteristics and dimensions, according to normal diligence, there being no signs of wear or dirt and in compliance with the following conditions:
- the right of withdrawal may be applied to the product purchased in its entirety; it is not in fact possible to return only part of the product purchased (e.g. accessories, complementary items, etc.); to withdraw, the product must be intact and returned in the original packaging, complete in all its parts (including packaging and any documentation and accessories)
- labels, tags, labels, seals, etc.); the transport costs (and any customs duties, if applicable) arising from the return of the goods are the exclusive responsibility of the Customer until confirmation of receipt by the warehouse indicated by EMPRESA, the responsibility for transport will be exclusively borne by the Customer; in the event of damage to the goods during transport, EMPRESA will notify the Customer, so that the latter can promptly file a complaint against the courier used and obtain adequate compensation; the product will then be made available to the Customer, at the same time as the cancellation of the request for termination;
- EMPRESA is not responsible in any way for damage, theft or loss that occurs during or as a consequence of a shipment made for the purpose of returning the goods.
5.4 EMPRESA will refund the Customer the full amount paid, net of shipping costs incurred and any customs duties paid for importation, within 14 (fourteen) days from the date of withdrawal, by reversing the amount charged, using the same payment method used by the Customer for the initial transaction, unless otherwise agreed. In any case, the Customer will not bear any costs incurred as a result of said refund. EMPRESA may withhold the refund until receipt of the returned product or until the Customer demonstrates that the product has been correctly shipped, if earlier.

7. Privacy
7.1 The personal data collected at the time of placing the Order will be used by EMPRESA exclusively for the purpose of satisfying the express requests of the Customer, in compliance with European regulation 2016/679 and the privacy policy reported on this site. Any other use of such data will occur only with the express consent of the Customer.

8. Applicable law
8.1 The sales contract referred to in these Conditions and its execution are governed by Italian Law. Any contrary legal provisions and the United Nations Convention on Contracts for the International Sale of Goods shall not be applicable. In the event of a dispute, the Court of the Municipality of residence of the Customer shall have jurisdiction.
